Terms of Service

These terms are the agreement between you and Tridiv Inc (“Fundalyze”, “we”, “us”) covering fundalyze.ai, our mobile apps, and everything we offer through them (together, the “Service”). By joining the waitlist, creating an account, or using the Service, you accept them electronically, and you agree that we can deal with each other electronically. If you do not accept them, please do not use Fundalyze.

Fundalyze is for individuals, for personal use. If you want to use it for a firm, an employer, or clients, these terms do not cover that; email us first.

What Fundalyze is

Fundalyze is an online platform offering financial and regulatory information, research tools and related services. What the Service includes may change over time.

Subject to these terms and to your plan being in good standing, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own personal, non-commercial use. All other rights are reserved.

Some features are labelled beta, preview or experimental. They may be incomplete, change without notice, or be withdrawn, and the availability and refund commitments in these terms do not apply to them.

Fundalyze is not investment advice

Nothing on Fundalyze is investment, financial, legal, accounting or tax advice, and nothing on it is a recommendation to buy, sell or hold any security. We are not a broker-dealer, an investment adviser, or a financial planner, and we are not registered as any of those with any regulator. We have no knowledge of your circumstances, objectives or risk tolerance, and nothing we show you is personalised to them.

Investing carries risk, including the loss of everything you invest. Any decision you make after using Fundalyze is yours alone. Consider speaking to a licensed professional before acting.

About the data we show you

Filing content comes from the SEC's EDGAR system and other public sources. We do our best to present it faithfully, but:

  • We do not guarantee it is accurate, complete, or current. Data may be delayed, and processing may introduce errors.
  • Where we extract, summarise or reformat a filing, that is our interpretation and may be wrong. The original filing is always the authority, and you should read it before relying on anything.
  • Historical information is not a prediction of anything.

AI-assisted features

Some features use artificial intelligence to summarise or analyse filings and other content. AI output is generated automatically; it may be incomplete, out of date or simply wrong, and it is our interpretation, not the filing. Read the source before relying on it.

  • We may cap, throttle or turn off AI features at any time, including per-user limits on how much you can generate.
  • Do not present AI output from Fundalyze as human-written, or as the view of Fundalyze or its staff.
  • To generate output, the text you ask about is sent to a third-party AI model provider.
  • Where a feature lets you bring your own key to an AI provider, the key is yours: keep it secure, and its usage costs and your provider's terms are your responsibility. We store the key only to make the requests you ask for, and you can remove it at any time.

Third-party data

Some of what the Service shows you comes from third-party data providers rather than from public sources. That information is provided as-is: we do not create or verify it, and neither we nor the provider guarantee that it is accurate, complete or timely. The provider has no liability to you for it.

You may use third-party data only within the Service and for your own personal use. You may not redistribute, resell, republish or systematically extract it, and you may not use it to build a competing product or dataset. Where a provider requires attribution or additional terms, they are listed on our Data attributions page and apply to your use. A provider whose data we supply may enforce those terms against you directly, even though it is not a party to this agreement.

Third-party data depends on our agreements with the providers. We may change, restrict or remove any third-party dataset if a provider's terms change or our agreement with it ends. That is not a breach of these terms and does not entitle you to a refund.

Your account

You must be at least 18 years old — or older, if the age of majority where you live is higher — and able to enter a binding contract. One account per person, and only you may use it. Keep your login credentials secure — you are responsible for what happens under your account. Tell us promptly at hello@fundalyze.ai if you think someone else has access. Give us accurate information and keep it current.

Your content and feedback

You own the content you create in Fundalyze — watchlists, annotations, highlights and notes. You give us a licence to store, process, back up and display it in order to provide and improve the Service, and to create aggregated or de-identified insights that do not identify you, which we may use for any purpose.

If you send us ideas or feedback, we may use them without any obligation to you.

Plans and free trial

We offer recurring subscription plans (currently monthly and annual) and, as a limited launch offer, a one-time Lifetime plan. Every plan requires a valid payment method, which you add through our third-party payment processor. Prices are shown and charged in US dollars (USD); taxes may be added where applicable.

Subscriptions (monthly and annual) come with a 7-day free trial:

  • One trial per person. We may decline a trial to anyone who has already had one, including under a different email address or payment method.
  • Unless you cancel before the trial ends, your paid subscription begins automatically when the trial does, and your payment method is charged for the plan you chose.
  • Cancel any time during the trial and you will not be charged.
  • We will try to remind you before the trial ends, but you are responsible for cancelling in time.

The Lifetime plan is a one-time payment with no free trial, offered as a limited launch offer that we may change or withdraw at any time. “Lifetime” means for the operational lifetime of Fundalyze — for as long as we continue to offer the Service. It is not a personal-lifetime or perpetual guarantee: if we discontinue the Service, Lifetime access ends with it. If we close your account for a material breach of these terms, Lifetime access ends with it and is not refunded.

Usage-based features are separate. Some features may rely on paid third-party usage — for example, AI-assisted analysis. That usage is not included in any subscription or in the Lifetime price. Where a feature works this way, you either connect your own third-party API key (“bring your own key”) or the usage is billed to you separately at the rates shown for it. We make clear which applies before you use such a feature.

Billing and renewals

  • Subscriptions are billed in advance and renew automatically each period until cancelled.
  • Cancel from Account → Billing. Cancellation takes effect when you complete it there and receive the confirmation. An email asking us to cancel is not a cancellation.
  • Cancelling stops future charges; you keep access until the end of the period you have already paid for.
  • If a renewal payment fails, your access is suspended while we retry the payment over the following 7 days and email you. If every retry fails, your subscription is cancelled; you can subscribe again at any time.
  • If we change a plan's price, we will email you at least 30 days before it applies to you. New prices take effect at your next renewal after that notice — never mid-period — so on an annual plan the price you paid is locked until that term ends. If you do not want the new price, cancel before the renewal.

Refunds

  • Monthly subscriptions are non-refundable. Cancelling stops the next charge; the current month is not refunded.
  • Annual subscriptions can be refunded in full if you ask within 14 days of the purchase or of a renewal charge.
  • Lifetime purchases can be refunded in full if you ask within 14 days of purchase.
  • Refunds are not available where you have breached these terms.

Outside these windows, and except where the law requires otherwise, payments are non-refundable. If something has genuinely gone wrong, email us — we would rather sort it out than stand on this clause.

What you may not do

  • Break the law, or infringe anyone's rights.
  • Scrape, bulk-download or systematically extract our content, or resell or redistribute it, without our written permission.
  • Access the Service with automated tools, bots, scripts or AI agents, except features we provide for that purpose.
  • Work around the limits of the free preview — including by reading hidden or blurred content, or by systematically requesting preview pages.
  • Share your account, or use one account for multiple people or an organisation.
  • Attack, overload or probe the Service, work around rate limits or access controls, or attempt to reach data that is not yours.
  • Reverse engineer the Service, except where the law says you may.
  • Use Fundalyze to build a competing product or dataset.

Our intellectual property

The Fundalyze name, logo, interface and software are ours and are protected by intellectual property law. Nothing here transfers them to you. The filings themselves are public records; they are not our property, and nothing in these terms restricts your use of the original filings as published by the SEC.

Third-party services

Fundalyze depends on other companies for hosting, payments and other functions — described by category in our Privacy Policy — and on data published by the SEC. We are not responsible for their availability or accuracy, and an outage at one of them may interrupt the Service.

Availability

We do not promise the Service will be uninterrupted or error-free. We may suspend it for maintenance, and we may change or discontinue features. If we discontinue a paid subscription entirely, we will refund the unused portion of what you have paid for it. A one-time Lifetime purchase is handled as set out under “Plans and free trial” above. Beta features are excluded from these commitments.

Ending the agreement

You may stop using Fundalyze and close your account at any time. We may suspend or close your account if you materially breach these terms, or if we are legally required to. Where it is reasonable to do so, we will warn you first and give you a chance to put it right.

We may suspend access immediately, without warning, where we reasonably believe there is scraping or automated access, a security threat, fraud, a payment dispute, or a risk to other users or to a data provider's rights.

When your account closes, access ends.

Disclaimers and limits on our liability

To the fullest extent the law allows, Fundalyze is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost data, or investment losses. Our total liability for all claims relating to Fundalyze is limited to the greater of USD 100 or the amount you paid us in the three months before the claim.

Any claim against us must be brought within 12 months of when you knew, or reasonably should have known, about it.

Nothing in this section limits liability that cannot be limited by law, including for fraud, or for death or personal injury caused by negligence. Some jurisdictions do not allow some of these exclusions or limitations, so some of them may not apply to you.

Indemnity

If your use of Fundalyze, or your breach of these terms, causes a third party to bring a claim against us, you agree to cover our reasonable costs in defending it.

Mobile apps

If you use Fundalyze through an app from the Apple App Store or Google Play, these additional terms apply:

  • These terms are between you and Fundalyze, not Apple or Google. Fundalyze, not Apple or Google, is responsible for the app and its content, for maintenance and support, and for addressing any claims about it — including product liability, regulatory compliance, consumer protection and intellectual property claims.
  • Your licence to the app is limited to use on devices you own or control, as permitted by the store's usage rules.
  • Apple and Google have no warranty obligation for the app. If the app fails to conform to a warranty, you may notify the store, which may refund any purchase price you paid it; that is the store's only warranty obligation.
  • You confirm you are not in a country subject to a Canadian or US government embargo or designated as terrorist-supporting, and are not on any Canadian or US list of prohibited or restricted parties.
  • You must comply with the store's terms and any applicable third-party terms when using the app.
  • Apple and its subsidiaries, and Google and its affiliates, are third-party beneficiaries of these terms as they relate to the app, and may enforce them against you.

Notices and electronic communications

We will send notices to the email address on your account or post them in the Service; they count as delivered when sent or posted. Send notices to us at hello@fundalyze.ai. You can unsubscribe from marketing email at any time, but while you have an account we will still send you account, billing and security messages.

Changes to these terms

We may update these terms. For material changes we will email you at least 30 days before they take effect, except where a change is needed immediately for legal, security or data-licensing reasons. Continuing to use Fundalyze after a change takes effect means you accept it; if you do not, cancel before then.

Governing law and disputes

If you have a problem, email us first at hello@fundalyze.ai. We will try to resolve it within 30 days.

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts of Ontario have exclusive jurisdiction, except that you may bring a claim in your local courts where consumer protection law gives you that right.

Everything else

If any provision is found unenforceable, the rest continues to apply. Our not enforcing something is not a waiver of it. You may not transfer this agreement; we may, as part of a merger or sale of the business.

We are not liable for delays or failures caused by events beyond our reasonable control, including outages at our infrastructure or data providers, government action, or network failures.

You confirm you are not subject to Canadian, US, UN or EU sanctions and will not use the Service in or for the benefit of a sanctioned country or person.

Sections that by their nature should survive — including intellectual property, disclaimers, limits on liability, indemnity, and governing law — continue after your account closes.

These terms and the Privacy Policy are the whole agreement between us.
